Terms of service
1. About these terms
These terms apply to services provided by SIA SVR AGENCY (“SVR Automations”, “we”), registration number 45403058332, Latvia, to business customers (“you”). We do not offer these services to consumers. If a mandatory consumer-protection law applies to you despite this, those rights stay unaffected.
Each project is described in a written proposal or order (email is enough). If a proposal conflicts with these terms, the proposal wins for that project.
2. Services and proposals
We build AI agents, business automations, websites, web apps, designs and scripts. Before work starts we agree in writing the scope, price, delivery time and what counts as finished. Prices shown on the website are starting prices, not offers. A contract exists once you accept our written proposal.
Changes to the agreed scope are handled as change requests: we tell you the effect on price and time, and work on the change only after you agree.
3. Prices and payment
- Prices are in euro and exclude VAT unless stated. VAT is added where required.
- Payment schedule: 50% before work starts and 50% on delivery.
- Invoices are due within 14 days. Late payments may bear statutory interest, and we may pause work until overdue amounts are paid.
- Domain names, hosting, software licences and AI usage fees are not included unless the proposal says so.
4. What we need from you
You give us the information, access and decisions we need, on time. You confirm that you have the right to give us any content, data or materials you provide, and that using them for the project does not break anyone’s rights or the law. Delays on your side can move delivery dates.
5. Third-party services and costs
Many solutions rely on third-party platforms (for example messaging apps, AI model providers, hosting and CRM tools). Those providers set their own prices, limits and terms, and can change or discontinue them. Their fees are paid by you, either directly or passed through at cost. We are not responsible for outages or changes at third-party providers, but we will help you adapt where reasonable.
6. AI-specific terms
- Outputs can be wrong. AI systems can produce inaccurate, incomplete or inappropriate answers. We design agents with safeguards and handoff to humans where agreed, but we cannot promise error-free output. You are responsible for reviewing the agent’s behaviour and for how you use its outputs.
- Telling people they talk to an AI. Chatbots and agents we build for you show a clear notice that users are talking to an AI, as EU law requires, unless it is obvious from the context. You agree not to remove it.
- Your content. You are responsible for the documents and data you use to train or instruct the agent, including having the legal right to use them.
- No prohibited use. You will not use what we build for unlawful, deceptive or harmful purposes, or for uses that the AI provider’s or EU AI rules prohibit.
7. Intellectual property
When you have paid in full, you own the custom deliverables created for you (for example your website design and code written specifically for you). We keep our pre-existing tools, templates, libraries and know-how, and give you a non-exclusive, perpetual licence to use them as part of the deliverables. Third-party and open-source components stay under their own licences. Unless you object in writing, we may name you as a client and show non-confidential parts of the work in our portfolio.
8. Confidentiality
Each side keeps the other’s non-public business information confidential and uses it only for the project. This does not apply to information that is public, already known, or that the law requires to be disclosed. It continues for 3 years after the project ends.
9. Data protection
Where we process personal data on your behalf, our GDPR & DPA page applies and we will sign a data processing agreement on request. How we handle data about people who contact us is described in our Privacy policy.
10. Warranties and liability
- We deliver the services with reasonable skill and care. We fix defects that you report within 30 days after delivery and that do not match the agreed scope, at no extra charge.
- We do not guarantee particular business results, such as number of leads or sales.
- Our total liability for a project is limited to the fees you paid for that project. We are not liable for indirect or consequential loss, lost profit or lost data, to the extent the law allows.
- Nothing in these terms limits liability that cannot be limited by law, such as liability for intent, gross negligence, or death or personal injury.
11. Term and termination
Either side can end a project with 14 days’ written notice. You then pay for work done up to the end date, plus costs we cannot cancel. Either side can end the contract immediately for a serious breach that is not fixed within a reasonable period after written notice. Sections that by their nature should continue (payment, IP, confidentiality, liability, governing law) continue after the end.
12. Governing law
These terms and any contract under them are governed by the laws of the Republic of Latvia. Disputes are decided by the competent courts of the Republic of Latvia, unless mandatory law says otherwise.
